Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Software Technology, LLC ("STL," "Company," "we," "us," or "our"), governing your access to and use of the website located at stl-org.com (the "Site"), including all content, functionality, and services offered on or through the Site.

IMPORTANT NOTICE

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years old to use this Site. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

1.2 Account Accuracy

If you submit information through contact forms, job applications, or other Site features, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

2. Acceptable Use Policy

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree NOT to:

Transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or similar solicitation

Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack

Violation Consequences

Any breach of these acceptable use provisions may result in immediate termination of your access to the Site and may subject you to civil and/or criminal liability.

3. Intellectual Property Rights

3.1 Ownership

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and look and feel) are owned by STL, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to these Terms. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material on our Site without prior written consent
  • Use the Site's content for any commercial purpose or for any public display
  • Remove or alter any copyright, trademark, or other proprietary rights notices

3.3 Trademarks

"STL," "Software Technology, LLC," and all related names, logos, product and service names, designs, and slogans are trademarks of STL or its affiliates. You must not use such marks without our prior written permission.

4. User Submissions

By submitting information through our contact forms, job applications, or any other submission mechanism on the Site, you grant STL a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish, and display such information for business purposes, including:

  • Processing and responding to your inquiries
  • Evaluating job applications
  • Improving our services and website
  • Complying with legal obligations

You represent and warrant that: (a) you own or control all rights to your submissions; (b) your submissions are accurate and not misleading; and (c) your submissions do not violate these Terms or any applicable laws.

5. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by STL. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that STL shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

6. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER STL NOR ANY PERSON ASSOCIATED WITH STL MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

WITHOUT LIMITING THE FOREGOING, NEITHER STL NOR ANYONE ASSOCIATED WITH STL REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

STL hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

Some jurisdictions do not allow the exclusion of warranties or limitations on the duration of implied warranties, so the above disclaimer may not apply to you in their entirety, but will apply to the maximum extent permitted by applicable law.

7. Limitation of Liability

LIMITATION OF LIABILITY

IN NO EVENT WILL STL, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Personal injury, property damage, or any other damages
  • Lost profits, loss of data, loss of business opportunity
  • Loss of revenue or anticipated savings
  • Business interruption
  • Loss of goodwill or reputation

WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct, or as otherwise required by applicable law.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless STL, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site
  • Your violation of any third-party right, including any copyright, property, or privacy right
  • Any claim that your submissions caused damage to a third party

This indemnification obligation will survive the termination of these Terms and your use of the Site.

9. Governing Law and Jurisdiction

9.1 Governing Law

These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any choice or conflict of law provision or rule.

9.2 Jurisdiction and Venue

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in Wyoming, United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

9.3 Waiver of Jury Trial

YOU AND STL HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and STL are instead electing that all claims and disputes shall be resolved by arbitration or in a court hearing before a judge alone.

10. Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Wyoming, United States before one arbitrator.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us individually. YOU AGREE THAT THERE WILL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS-ACTION BASIS.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending an email notification (if you have provided your email)
  • Displaying a prominent notice on our Site

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.

12. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Severability and Waiver

13.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

13.2 Waiver

No waiver by STL of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of STL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and STL concerning the Site and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.
